    Please read this Affiliate Agreement carefully before you join our Affiliate Program or begin marketing our Affiliate Program. By applying to be a Carbon affiliate ("Affiliate"), you (a) agree to abide by these terms and conditions and our Privacy Policy if you are accepted into the Affiliate Program, (b) acknowledge and agree that these terms and conditions and our Privacy Policy constitute an agreement between us and you upon your acceptance into the Program (the "Agreement"); (c) represent and warrant that you are lawfully able to enter into this Agreement; and (d) acknowledge and agree that you are and will remain in compliance (and will be responsible for ensuring that your employees, agents and contractors comply) with the terms and conditions of this Agreement. This Agreement is written in plain language intentionally avoiding legalese to ensure that this Agreement may be clearly understood and followed by Affiliates.


    PURPOSE

    The purpose of this Program is to permit you to advertise Products on your website and to earn advertising commissions for Qualifying Purchases.


    COMMISSIONS

    Sales Commission: 8% commission on all qualifying purchases from new customers. "Qualifying Purchases" refers to purchases made when all of the following requirements are made:

    (i) a customer clicks through a special link on your website to our website; (ii) during a single session that the customer adds a Product to his/her shopping cart and places the order for that Product no later than 30 days following the customer’s initial click-through; and (iii) the purchased Product is paid for by the customer;


    RESPONSIBILITY FOR YOUR WEBSITE

    You hereby represent and warrant that you will be solely responsible for your website, including its development, operation and maintenance and all data, content and materials that appear on or within it. Carbon will have no liability for any claims, damages, losses, liabilities, fines, penalties, costs and expenses relating to (a) your website or any data, content or materials that appear on your website; (b) the use, development, design, manufacture, production, advertising, promotion or marketing of your website; (c) your use of any content; and (d) your violation of any term or condition of this Agreement.


    ​​WEBSITE RESTRICTIONS

    Your participating website(s) may not:

    Infringe on our or any anyone else’s intellectual property, publicity, privacy or other rights.

    Violate or be used to violate any law, rule or regulation.

    Contain any content that is threatening, harassing, defamatory, obscene, harmful to minors, or contains nudity, pornography or sexually explicit materials.

    Contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to or may damage, interfere with, surreptitiously intercept or expropriate any system, data, or personal information.

    Contain software or use technology that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of Affiliate commissions from another website.

    Attempt to interfere with, harm, reverse engineer, steal from, or gain unauthorized access to our website, user accounts, or the technology and equipment supporting our website.

    Violate any of our policies.

    Post non-Carbon advertising or marketing links or content, except as specifically allowed by this Agreement.


    LINKING TO OUR WEBSITE

    Upon acceptance into the Program, links will be made available to you through the Affiliate interface. When linking to our website, you agree:


    You will only use linking code obtained from the Affiliate interface without manipulation.

    All domains that use your Affiliate link must be listed in your Affiliate profile.

    Your website will not in any way copy, resemble, or mirror the look and feel of our website. You will also not use any means to create the impression that your website is our website or any part of our website including, without limitation, framing of our website in any manner.

    You may not engage in cookie stuffing or include pop-ups or false or misleading links on your website. In addition, wherever possible, you will not attempt to mask the referring URL information (i.e. the page from where the click is originating).

    Your website may not use redirects to bounce a click off of a domain from which the click did not originate in order to give the appearance that it came from that domain is prohibited.


    NO DECEPTIVE PRACTICES

    If you engage in deceptive practices, such as redirecting links by sending users indirectly to our website via an intermediate site or website and without requiring a user to click on a link or take some other affirmative action on that intermediate site or website, we may in our sole discretion void your current and past commissions or set your commission level to 0%.This does not include using "out" redirects from the same domain where the Affiliate link is placed.



    ADVERTISING & PUBLICITY

    You shall not create, publish, distribute, or print any written or visual material that makes reference to our Program without first submitting that material to us and receiving our prior written consent. If you intend to promote our Program via e-mail campaigns, you must adhere to the following:

    SOCIAL MEDIA

    Promotion on Facebook, Twitter, and other social media platforms is permitted following these general guidelines:


    You ARE allowed to promote offers to your own lists; more specifically, you are welcome to use your Affiliate links on your own Facebook, Twitter, etc. pages. For example: You may post, "Ovens are $100 off at Carbon through Wednesday with code Carbon."

    You ARE PROHIBITED from posting your Affiliate links on Carbon’s Facebook, Twitter, etc. company pages in an attempt to turn those links into Affiliate sales.

    You ARE PROHIBITED from running advertisements on our social media platforms using the Trademarked Terms.


    TERMINATION OR REVISION OF THE AFFILIATE PROGRAM

    We reserve the right to terminate or revise the Program at any time, including by providing a change notice, a revised Agreement, or revised documentation of the Program.

    Carbon, Inc. (“Carbon,” “we,” “us,” “our”) knows that you care about how Your personal information is used and shared, and we take your privacy seriously. Please read the following to learn more about our privacy policy. By using Carbon’s services or software or visiting our website, and any other linked pages, features, content, devices or application services offered from time to time by Carbon in connection therewith (collectively, the “Service(s)”), You acknowledge that you accept the practices and policies outlined in this Privacy Policy. Capitalized terms not defined herein shall be given the meaning set forth in our Terms of Use.

    What Does This Privacy Policy Cover? This Privacy Policy covers Carbon’s treatment of personally identifiable information (“Personal Information”) that Carbon gathers when our Subscribers access or use Carbon’s Services. This policy does not apply to the practices of companies that Carbon does not own or control, or to individuals that Carbon does not employ or manage.

    What Personal Information Does Carbon Collect? The information we gather from Customers and/or Manufacturer’s Representatives enables us to personalize and improve our Services, to allow us to serve them most effectively. We receive and store any information You enter in connection with our Services or provide to us in any other authorized way. The types of Personal Information collected may include Your name, address, screen name, email address, IP address, and browser information. You can choose not to provide us with certain information, but then you may not be able to take advantage of all of our Services offerings.

    E-mail Communications We may receive a confirmation when You open an email from Carbon if your computer supports this type of program. Carbon uses this confirmation to help us make emails more interesting and helpful and improve our Service. If You do not want to receive email or other mail from us, please indicate your preference during the registration process or by making a modification on Your account page.

    What About Cookies? Cookies are alphanumeric identifiers that we transfer to Your computer’s hard drive through your browser to enable our systems to recognize Your browser and tell us how and when pages in our Services are visited and by how many people. Carbon cookies do not collect Personal Information, and we do not combine the general information collected through cookies with other Personal Information to tell us who You are or the identity of Your screen name or email address.

    Most browsers have an option for turning off the cookie feature, which will prevent your browser from accepting new cookies, as well as (depending on the sophistication of your browser software) allow You to decide on acceptance of each new cookie in a variety of ways.     Does Carbon Share the Personal Information It Receives? Personal Information about our customers is an integral part of our business. We neither rent nor sell Your Personal Information to anyone. Agents: We employ other companies and people to perform tasks on our behalf and need to share Your Personal Information with them to provide Services to you. Unless we tell you differently, Carbon’s agents do not have any right to use Personal Information we share with them beyond what is necessary to assist us. You hereby consent to our sharing of Personal Information for the above purposes.

    Protection of Carbon and Others: We may release Personal Information when we believe in good faith that release is necessary to comply with law; enforce or apply our Terms of Use and other agreements; or protect the rights, property, health or safety of Carbon, our employees, our Subscribers, or others. This includes exchanging information with other companies and organizations for fraud protection and credit risk reduction. With Your Consent: Except as set forth above, You will be notified when Your Personal Information may be shared with third parties, and will be able to prevent the sharing of this information.

    Is Personal Information About Me Secure? Your Carbon account Personal Information is protected by a password for your privacy and security. You need to prevent unauthorized access to your account and Personal Information by selecting and protecting Your password appropriately and limiting access to your computer and browser by signing off after You have finished accessing your account. Carbon endeavors to protect Subscriber Personal Information; however, Carbon cannot guarantee the security of such information. Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of Subscriber information at any time.

    Third Party Sites and Services The Services may contain links to or other information regarding other sites or services. Carbon is not responsible for the privacy policies and/or practices of other sites or services. When accessing another site or service You should read the privacy policy stated on that site. This Privacy Policy only governs information collected in connection with our Services.

    What Personal Information Can I Access? Carbon allows You to access certain categories of information about You for the purpose of viewing, and in certain situations, updating that information. These categories may change as our Services change. Certain information is required to access some of our Services, so Your deletion of certain information, or provision of inaccurate information, may render the Services inoperable, in whole or in part.

    What Choices Do I Have

    As stated previously, You can opt not to disclose, or allow to be disclosed, certain information to us, even though it may be needed to take advantage of certain Carbon Services.

    You are able to add or update certain information on pages. When You update information, however, we often maintain a copy of the unrevised information in our private records. As mentioned above in “What Personal Information Can I Access,” deleting or modifying information may render the Services inoperable, in whole or in part.

    If You do not wish to receive certain types of email or other mail from us, please indicate this preference during the registration process or by changing Your account settings. Please note that if You do not want to receive legal notices from us, such as this Privacy Policy, those legal notices will still govern Your use of the Carbon Services, and You are responsible for reviewing such legal notices for changes. However, You acknowledge that certain communications between You and Carbon are required to provide You the Services and maintain your account.

    Changes to the Privacy Policy Carbon may amend this Privacy Policy from time to time. Use of information we collect now is subject to the Privacy Policy in effect at the time such information is used. If we make changes in the way we use Personal Information, we will notify You by posting an announcement through our Services or sending You an email. Subscribers are bound by any changes to the Privacy Policy when he or she uses the Services after such changes have been first posted.
